Being responsible for undertaking general legal duties as assigned in support of the Business Development and Commercial Teams including but not limited to reviewing commercial contracts; drafting addendum, novation agreement; participating in the review of the Archetype contract template; risk analyzing of contractual terms and conditions; ensuring compliance with contractual requirements; drafting legal letters and responses in relation to contractual obligations and breaches.
Being responsible for undertaking general legal duties to support the operations of Archetype Vietnam Limited including, but not limited to reviewing office lease arrangements, office renovation; assisting with any legal matters; giving employment law and professional practice certificate advices to Human Resources; assisting Finance department in drafting cost-sharing agreement.
Preparing and submitting application then closely working and following up with the competent authorities such as DPI, tax department and general tax department.
Assisting in the research, drafting petition, preparing of legal documentation and attending hearing for which Archetype Vietnam may be involved including but not limited to construction arbitration; commercial arbitration, labor Court, administrative Court.
Assisting with the preparation and distribution of regular legal briefing notes to Managers regarding legal obligations and compliance matters and regulatory changes.
Maintaining a network of key contacts in government to ensure early notification of key regulatory and legal changes, and other legal issues.
Ensuring that all local Legal practices and procedures meet the standards established and expected of the Group.
Drafting and reviewing the legal (contractual) letters undertaken by various departments to ensure they are made in accordance with the law and the agreements and are well written.
Investigating local practices of similar companies in the market and proposing changes to the contract version to ensure they keep with prevailing market standards and procedures.
Undertaking document translations as required.
Reviewing and correcting external correspondence as required to ensure that submittals are legal and correct.
Liaising with internal departments and competent authority to get Certificate of Construction Capacity.
Being responsible for the secretarial work related to maintaining the record-keeping of legal documents.
Handling and following up contract liquidation process.
Giving Managing Director advice on Euro Cham White book.
Degree qualifications in Law.
Being granted Lawyer training certificate.
Years of experience: Minimum of 5-year experience in general legal practice.
Ability to undertake legal research and analysis to support the claims of the organization.
Advanced time management and organizational skills.
Intermediate understanding of the principles of contract law, construction law and arbitration rules.
Advanced written and spoken communication skills including advanced negotiation and persuasion skills.
Intermediate skills in legal analysis, construction law, commercial law, torts, contracts, administrative law, employment law, litigation.
Advanced written and spoken English skills are also required.
