We are seeking a dual-purpose professional to join our organization as both a Board Member and an active Legal Committee Volunteer. This unique hybrid role combines the high-level governance and oversight responsibilities of a Board Member with the specialized, hands-on legal research and advisory duties of the Legal Committee. Key Responsibilities
Strategic Governance (Board Level):

Participate in board meetings to define mission, set long-term goals, and ensure fiduciary health.

Review financial statements, budgets, and audit reports to ensure responsible stewardship.

Act as an organizational ambassador to leverage professional networks for fundraising and advocacy.

Legal Advisory (Committee Level):

Advise the Board and Executive Director on legal risks, compliance requirements, and regulatory updates.

Assist in drafting, reviewing, and negotiating governance-related contracts, MOUs, and policy documents.

Provide expert guidance on non-profit-specific legal matters, such as tax-exempt status maintenance, employment law, and intellectual property.

Conduct internal compliance audits and assist in developing protocols to mitigate organizational liability.

Requirements & Qualifications
Education: Juris Doctor (JD) degree is required; active bar membership in good standing in the relevant jurisdiction is essential.

Experience: 5+ years of legal experience, ideally with previous service on a board or in a non-profit legal capacity.

Technical Skills:

Expertise in corporate governance, contract law, and non-profit regulatory compliance.

Aptitude for synthesizing complex legal statutes into actionable advice for non-lawyer leadership.
